Terms of Service

These Terms of Service are a binding agreement between you and Black Arcscend Inc. (corporation no. 1770448-8, incorporated under the Canada Business Corporations Act), which operates Black Arcscend(“we”, “us”). By creating an account or using the platform, you agree to these terms and to our Privacy Policy. If you are agreeing on behalf of a business, you confirm you are authorized to bind it.

Black Arcscend is an AI marketing engine: it interviews your business, builds your marketing strategy, and produces ready-to-publish content on a recurring cycle. Features roll out in phases, and we may add, change, or remove features over time. We provide the drafts and the tools; you decide what to publish.

You must provide accurate information, keep your password secure, and are responsible for activity under your account. Tell us promptly at hello@blackarcscend.com if you suspect unauthorized use. You must be at least 18 and use the service for a genuine business.

• Free trial — paid plans start with a 14-day free trial. A payment method is required to begin it.
• Auto-renewal — unless you cancel before the trial ends, your subscription begins automatically and renews each billing period at the then-current price until you cancel.
• Cancel anytime — you can cancel from the billing portal; cancellation takes effect at the end of the current period, and you keep access until then.
• Payments — billing is handled by Stripe. Prices are shown at checkout and may vary by market and currency. Taxes may apply.
• Changes & refunds — we may change prices with notice for future periods. Except where required by law, payments are non-refundable.

Voice calls and SMS from Black Arcscend are opt-in and you control them: you press to start your intake call (or type it instead), you approve and schedule the monthly planning call (last Friday of the month, at times you choose), and you can turn calls off at any timein Settings → Calls. Calls announce they are AI and are recorded and transcribed to build your marketing. By starting or scheduling a call you give your express, revocable consent to receive automated AI voice calls and SMS at the number you provide, and confirm you are authorized to receive them there. You may withdraw consent at any time (see the Privacy Policy); the typed intake remains available either way.

You own the business information, brand assets, and feedback you provide (“Your Content”). You grant us a licence to use Your Content solely to operate the service and generate your marketing.

Nothing is published without your approval. The engine drafts; you review, edit, and approve every piece. You own the marketing outputs you approve, and may use them freely for your business.

Content is generated by AI and may contain errors, inaccuracies, or material that resembles other work. Before you publish anything, you are responsible for reviewing it and ensuring it is accurate, lawful, non-infringing, and right for your brand — including any claims, prices, and offers.

We do not guarantee any particular reach, engagement, sales, or other results. Marketing outcomes depend on many factors outside our control.

You agree not to:

• Use the service for anything unlawful, deceptive, hateful, or harmful.
• Infringe anyone's intellectual property, privacy, or other rights.
• Upload malware, attempt to breach security, or access another business's data.
• Reverse-engineer, resell, or misuse the platform or its AI systems.
• Generate content that violates the policies of the platforms you post to.

We own the platform, its software, design, and brand. These terms grant you a limited, non-exclusive, non-transferable right to use the service while your subscription is active. You keep ownership of Your Content and of the approved marketing outputs, as described above.

The service relies on third parties (for example payment, telephony, and AI providers) and connects to platforms you post to. Your use of those platforms is governed by their own terms, and we are not responsible for them.

The service is provided “as is” and “as available”, without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate or fit for a particular purpose.

To the fullest extent permitted by law, Black Arcscend will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim is limited to the amount you paid us in the three months before the claim. Nothing here limits liability that cannot be limited by law.

You agree to indemnify and hold Black Arcscendharmless from claims arising out of Your Content, the marketing you publish, or your breach of these terms or of any third-party platform’s rules.

You can cancel at any time. We may suspend or terminate access if you breach these terms, misuse the service, or where required by law. On termination, your right to use the service ends; sections that by their nature should survive (such as ownership, disclaimers, and liability) will survive.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules, and the courts there will have jurisdiction over any dispute, except where mandatory local law gives you other rights.

We may update these terms as the product and the law evolve. We will change the “Last updated” date and, for material changes, notify you. Continuing to use the service after changes take effect means you accept the updated terms.
